1. Acceptance of Terms

By accessing or using Dagentbase ("the Platform"), operated by Dagentbase ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

Dagentbase is a marketplace where users can buy and sell data assets including datasets, APIs, real-time data feeds, images, databases, ML models, and other digital data products. The Platform provides discovery, transaction processing, and delivery infrastructure for data assets.

3. Account Registration

You must create an account to buy or sell on the Platform. You are responsible for maintaining the confidentiality of your account credentials, including API keys. You are responsible for all activity under your account.

You must provide accurate and complete information when creating an account. You must be at least 18 years old or the age of majority in your jurisdiction.

4. Sellers

By listing data on the Platform, you represent and warrant that:

  • You have the legal right to sell the data you list.
  • Your data does not infringe on any third-party intellectual property rights.
  • Your data does not contain malware, viruses, or harmful content.
  • Your listing description accurately represents the data being sold.
  • You comply with all applicable data protection and privacy laws.

We reserve the right to remove any listing that violates these terms, contains misleading information, or is reported by buyers.

5. Buyers

By purchasing data on the Platform, you agree to:

  • Use the data only in accordance with the license specified by the seller.
  • Not redistribute or resell purchased data unless the license permits it.
  • Not attempt to reverse-engineer, de-anonymize, or re-identify data subjects.
  • Comply with all applicable laws regarding your use of the data.

6. Payments and Fees

All payments are processed through Stripe. The Platform charges a 5% transaction fee on each sale. Sellers receive 95% of the sale price.

Prices are set by sellers and displayed in USD. All sales are final unless the data is materially different from its description, in which case buyers may request a review.

Sellers are responsible for any taxes applicable to their earnings. The Platform does not provide tax advice.

7. API and Programmatic Access

The Platform provides REST API access and MCP server integration for programmatic use. API keys are confidential and must not be shared. You are responsible for all activity conducted through your API keys.

We enforce rate limits on API endpoints. Attempting to circumvent rate limits, abuse the API, or conduct automated attacks will result in account suspension.

8. Real-Time Data

For API proxy and streaming data listings, the Platform acts as an intermediary. We do not guarantee uptime, latency, or data accuracy of third-party endpoints. Health monitoring is provided as-is.

9. Prohibited Content

The following content is prohibited on the Platform:

  • Personal data sold without proper consent or legal basis.
  • Data obtained through illegal means (hacking, scraping in violation of ToS, etc.).
  • Content that promotes violence, discrimination, or illegal activity.
  • Malware, exploits, or data designed to cause harm.
  • Fraudulent or deliberately misleading listings.

10. Intellectual Property

The Platform and its original content, features, and functionality are owned by Dagentbase. Sellers retain ownership of their data. Buyers receive a license as specified by the seller, not ownership of the underlying data.

11. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. We are not liable for the quality, accuracy, or legality of data sold on the Platform. Our total liability shall not exceed the fees paid to us in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your account at any time for violation of these terms. You may delete your account at any time. Upon termination, your access to purchased data may be revoked.

13. Changes to Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance of the new terms. We will notify users of material changes via email or platform notification.
